Josh,

I appreciate your response, but I already understand the mechanics of COBRA???including how it would extend Cheryl???s coverage after mine ends in .

Let me be clear: if I were in your position, terminating me from the group plan???knowing the biological drugs Cheryl and I rely on are not covered outside of it???would be the last step I???d take without first assessing the financial implications. Continued group coverage remains one of the only real incentives I have to work toward a structured resolution without litigation.

Frankly, the longer I sit with this, the more apparent it becomes that without the benefits there is no compelling reason not to proceed with the legal process that I doubt you, Jerry, and Heba Carter would want to see move forward.

I???ve been trying to find a path forward that avoids litigation. Debbie has offered some hope, and I believe she can help clean up the firm???s records. That said, the clock is ticking???and if this is your decision, it???s difficult to reconcile the firm terminating my group health coverage while continuing to use my name publicly as ???Senior Counsel??? and as attorney of record.

The Judge made a point that I???m not a partner. There is no basis without my consent that I should still be listed on USPTO filings associated with NGM, and the firm???s continuing public representation of my affiliation with NGM - it has to stop, especially in view of the arbitration ruling by Judge Horne???it is inappropriate and misleading. And actionable.

You can???t have it both ways. If I???m being removed from the benefits, the public-facing use of my name and affiliation should end as well.

I???ll let you think it over and maybe speak with Debbie. I know she???s cleaned up some of the things that I mentioned which is good but I also found some other things to ask her about, particularly with KSU, UAEU and the BoA trust account, including the starting trust account balances in Soluno. Debbie said we can address those items when she has an updated report.

I don???t want to put you and Jerry out of business. I still envision riding off on a white horse on the high road on and hope you can still see that vision too. If this is how it ends, this is how it ends. I find it very, very hard to believe that you don???t want to part with a structured resolution, perhaps with a payment plan ???without any lawsuits.

PS. The accounting requires immediate attention. The partners are responsible. I???m glad I???m not a partner. I am owed a significant sum.

Why This Matters

Litman explicitly states he has NOT consented to his name appearing on USPTO filings. He calls it 'inappropriate,' 'misleading,' and 'actionable.' This email alone destroys Goldberg's consent defense (#10).
